Beta. HereAreI is in beta. During the beta only the Free Plan is available and nothing can be bought: there are no paid plans, domain registrations or mailboxes yet. Features may change, be added or be withdrawn while the beta lasts. The clauses below about paid plans, payments, domain registration and email apply only once those features are offered; we will tell you before they are, and Section 19 applies to any change to these Terms.

Plain-English summary #

This box is a courtesy summary. It is not part of the contract. If anything in it conflicts with the numbered clauses below, the numbered clauses win.

  • What HereAreI is. A hosted home for personal and portfolio websites. You build a site in our drag-and-drop editor, or upload your own HTML, CSS, JavaScript and images, and we host it at yourname.herearei.com or on a domain you already own. When paid plans become available, a Premium plan will add more storage and bandwidth, and domains and mailboxes will be available as paid add-ons.
  • Who can sign up. You must be at least 18 (or the age of majority where you live, if that is higher) and verify your email address. If you sign up for a business, you must have authority to bind it.
  • Free and paid plans. The Free plan costs nothing, shows a small "Built with HereAreI" badge, and has limits. During the beta it is the only plan. When the Premium plan becomes available it will renew automatically until you cancel, and we will tell you before prices change.
  • Refunds. When paid plans are available, the first payment for a Premium plan can be refunded within 14 days. Renewals are not refundable. Domain registrations, renewals, transfers, privacy add-ons and restore fees are never refundable because registries charge us the moment we act.
  • Domains. During the beta you can connect a domain you already own, free of charge, with HTTPS set up automatically. We do not sell domains yet. When we do, you will be the registrant (the legal holder), not us, and domains will be registered through an ICANN-accredited registrar (we currently intend to use Openprovider). You will have to keep your contact details accurate and verify your email within 15 days of registering, and you will be able to transfer your domain away after the ICANN lock periods. If you let a domain expire, restoring it costs extra and after the grace period it may be lost for good.
  • Email. Mailboxes are not offered during the beta. When they are, they will be a paid add-on provided through our email provider, whose acceptable-use rules apply on top of ours. No spam, ever.
  • Your content. You own what you upload. You give us permission to host, copy, cache and display it so the service works. You are responsible for it, and you must have the rights to publish it.
  • Acceptable use. No illegal content, phishing, malware, spam, copyright infringement, sexually explicit content, or abuse of the platform. We can remove content and suspend or close accounts that break the rules, sometimes without notice.
  • Inactive free sites. If nobody signs in to your account or edits your Free site for 6 months, we email you a warning, and again at 11 months. At 12 months we take the site offline. Nothing is deleted yet: sign in and publish within the next 30 days and the site comes back exactly as it was. 30 days after it goes offline we delete it. Keep a backup.
  • Your data. You can download the files you uploaded at any time. When your account closes, we delete your data after a short grace period.
  • Uptime. We work hard to keep sites online but we do not promise a specific uptime, and the Free plan has no service commitment at all.
  • Liability. We are not liable for indirect losses, and our total liability is capped at what you paid us in the last 12 months (or CAD $20 if you paid nothing).
  • Law. These Terms are governed by the laws of British Columbia and Canada. We will try to resolve disputes informally first.
  • Changes. We will give you at least 30 days' notice of material changes by email and on the site.
  • Contact. Email support@quaal.co for everything. Put "Abuse", "Copyright notice", "Privacy", "Close account" or "Legal notice" in the subject line so your message reaches the right queue.

1. Acceptance and scope #

1.1 These Terms of Service (the "Terms") are a binding agreement between you and QuaalCo, a sole proprietorship in British Columbia, Canada, governing your use of the HereAreI website builder, hosting, domain registration, email and related services offered at https://www.herearei.com and its subdomains (the "Service").

1.2 By creating an account, clicking "I agree", or using the Service, you accept these Terms, the Acceptable Use Policy at https://www.herearei.com/legal/acceptable-use/ (the "AUP"), the Copyright, Trademark and Abuse Policy at https://www.herearei.com/legal/copyright/ and the Privacy Policy at https://www.herearei.com/legal/privacy/, each of which is incorporated by reference. If you do not agree, do not use the Service.

1.3 If you use the Service on behalf of a company, organization or other legal entity, you represent that you are authorized to bind that entity to these Terms, and "you" means that entity.

1.4 Additional terms apply to specific parts of the Service and are incorporated by reference where indicated: the Registration Agreement for domains (Section 7), the Email Provider's terms for mailboxes (Section 8), and any order form, add-on description or plan page you accept at checkout. In the event of conflict, the more specific document governs the specific service, and these Terms govern everything else.

2. Definitions #

2.1 "Account" means the HereAreI user account you create with a verified email address.

2.2 "Site" means a website you create and publish through the Service, whether served on a HereAreI-provided subdomain or on a Customer Domain.

2.3 "Sites Domain" means the domain HereAreI uses to serve customer subdomains, currently herearei.com (for example, yourname.herearei.com). HereAreI may change the Sites Domain on reasonable notice.

2.4 "Customer Domain" means a domain name that you register through HereAreI ("Registered Domain") or that you already own and connect to the Service ("BYO Domain").

2.5 "Registrar" means the ICANN-accredited registrar through which HereAreI registers domains as a reseller once domain registration is offered. We currently intend to use Openprovider, an ICANN-accredited registrar based in the Netherlands; the Registrar for your domain will be named at checkout. HereAreI is not an ICANN-accredited registrar.

2.6 "Registration Agreement" means the Registrar's domain registration agreement for registrants, as presented at checkout and as updated by the Registrar from time to time, together with any domain registration terms of HereAreI presented at checkout and any registry-specific agreement (such as the CIRA Registrant Agreement for .ca domains).

2.7 "Email Provider" means the provider of the mailbox service that HereAreI will resell as a paid add-on once mailboxes are offered. We currently intend to use Openprovider's email service.

2.8 "Plan" means the Free Plan or, once paid plans become available, the Premium Plan (or any successor tier), as described on our website and in your dashboard, including its storage, bandwidth, domain and feature limits ("Plan Limits"). During the beta the Free Plan is the only Plan.

2.9 "Fees" means all amounts payable for Plans, domains, mailboxes and add-ons, exclusive of Taxes.

2.10 "Taxes" means GST/HST, provincial sales taxes (PST/RST/QST), VAT, sales and use taxes and similar charges imposed by any government on the Fees.

2.11 "User Content" means everything you upload to, create in, or publish through the Service: text, images, video, audio, files, code, form submissions from your visitors, email content, and domain contact data.

2.12 "Visitor" means any person who views or interacts with a Site.

2.13 "Billing Provider" means Stripe, Inc. and its affiliates, which will process payments for HereAreI once paid features launch. No payments are taken during the beta.

3. Eligibility and accounts #

3.1 Age. You must be at least 18 years old, or the age of majority where you live if that is higher (for example, 19 in British Columbia), to create an Account. By creating an Account you represent that you meet this requirement. If we learn that an Account holder does not, we will close the Account.

3.2 Verified email. You must provide a working email address and complete our email verification step before you can publish a Site, purchase a domain or subscribe to a paid Plan. The verified address is where we send legally required notices (including domain renewal reminders under Section 7.6), so you must keep it current.

3.3 Accuracy. You agree to provide accurate, complete and current information when you register and to keep it updated. This includes the billing address we use to determine Taxes (Section 4.6) and the registrant contact data for any Registered Domain (Section 7.4).

3.4 One person, one Account. Your Account is personal to you (or to the entity you represent). You may not share credentials, sell or transfer an Account, or create Accounts to evade Plan Limits, a suspension or a termination.

3.5 Security. You are responsible for everything that happens under your Account. You sign in with a one-time link sent to your email address, so anyone who controls that mailbox can sign in to your Account: keep your email account secure, and notify us immediately at support@quaal.co if you suspect unauthorized access.

3.6 Card on file for domains. Once domain purchases are offered, to purchase a domain, including on the Free Plan, you must keep a valid payment method on file. This is an anti-abuse measure of our own (it is not an ICANN or Registrar requirement) and it is also how domain renewals are charged (Section 7.7).

3.7 Geographic availability. The Service is operated from Canada. We may decline or restrict Accounts from jurisdictions where we cannot lawfully or practically provide the Service, including jurisdictions subject to Canadian sanctions.

4. Plans, billing and payment #

4.1 Free Plan. The Free Plan is provided at no charge, subject to its Plan Limits, the "Built with HereAreI" badge (Section 13), the inactive-site policy (Section 11.4) and the reduced service commitment (Section 12.3). During the beta the Free Plan is the only Plan. We may change or withdraw the Free Plan at any time on 30 days' notice.

4.2 Paid Plans. Paid Plans are not available during the beta. When the Premium Plan becomes available, it will be billed in advance, monthly or annually, at the price shown on our website when you subscribe. Prices are displayed in Canadian dollars (CAD); where we offer prices in another currency, the amount shown at checkout in that currency is the amount charged.

4.3 Auto-renewal. Paid Plans and domain registrations renew automatically at the end of each billing period at the then-current price for the same period, until you cancel. We will remind you by email before each annual renewal and before each domain renewal (Section 7.6). You may cancel a Plan at any time from your account settings or the billing portal; cancellation takes effect at the end of the current period, and you keep access until then. Domain auto-renewal can be turned off per domain (Section 7.7).

4.4 Payment. Payment is processed by the Billing Provider. By providing a payment method you authorize us and the Billing Provider to charge it for all Fees and Taxes when due, including renewals, domain purchases you initiate, add-ons and restore fees you approve. We do not store full card numbers; the Billing Provider does, under its own terms at https://stripe.com/legal.

4.5 Price changes. We may change Plan prices and add-on prices. We will give you at least 30 days' notice by email before a price increase takes effect on your renewal; if you do not cancel before the renewal date, the new price applies. Domain prices change more often because registries set wholesale costs: the price for a domain registration, renewal or transfer is the price shown on the Domain Fees page on our website at the moment the order or renewal is placed. Where we know of an upcoming registry increase (for example, Verisign's .com wholesale increase effective 2026-11-01, per https://domainnamewire.com/2026/04/23/breaking-verisign-raising-wholesale-com-prices/), we will post it on that page in advance.

4.6 Taxes. Fees exclude Taxes. Where we are registered to collect a Tax, we add it to your invoice based on the billing address you provide (for Canadian customers, GST/HST at the rate of the province of your address under the federal place-of-supply rules for services and intangible property — 5% GST, 13% HST in Ontario, 14% in Nova Scotia and 15% in New Brunswick, Newfoundland and Labrador and Prince Edward Island as of 2026-09-16, https://www.canada.ca/en/revenue-agency/services/tax/businesses/topics/gst-hst-businesses/charge-collect-which-rate/calculator.html — plus BC PST, Saskatchewan PST, Manitoba RST or Quebec QST where we are registered to collect them). Canadian business customers are charged GST/HST like everyone else and may recover it through input tax credits where eligible. If you are a customer outside Canada entitled to reverse-charge treatment (for example, an EU business with a valid VAT number), or a customer entitled to a provincial sales tax exemption, you must give us a valid tax registration number before purchase; we will not refund Taxes because of a number supplied later. You are responsible for any Taxes we are not required to collect. QuaalCo is not currently registered for GST/HST and does not charge it.

4.7 Invoices and receipts. We issue an electronic receipt for every charge. Invoices and payment history are available in the billing portal. Tell us about any billing error within 60 days of the charge; we will correct genuine errors and, where required, refund the difference.

4.8 Failed payments. If a renewal charge fails, we will retry it and email you asking you to update your payment method. If payment remains outstanding 14 days after the due date, we may downgrade your Site to the Free Plan Limits, suspend email service, and pause the Site. If payment remains outstanding 30 days after the due date, we may cancel the subscription and treat the Account as terminated under Section 11. Domain renewals that cannot be charged will not be renewed; the domain will follow the expiry process in Section 7.8, and we are not responsible for the loss of a domain whose renewal could not be paid.

4.9 Downgrades. If you downgrade a Plan or a paid subscription lapses, features and Plan Limits change immediately or at the end of the period, as described at checkout. If your stored content exceeds the new limits, the Site may be paused until you reduce usage or upgrade. Mailboxes beyond what your Plan and paid mailbox add-ons allow will be deleted after a 14-day grace period with prior email warnings; mail data deleted from the Email Provider may be permanently purged soon after deletion and cannot be recovered.

4.10 Promotions. Promotional prices, free trials and credits apply only for the stated period and then revert to the standard price. If a promotion includes a domain registration at a reduced or zero price (for example, a first year included with an annual Plan), the domain renews at the standard renewal price on the Domain Fees page unless the promotion says otherwise, and the non-refundable rules in Section 5.3 apply to it. We may set eligibility conditions and withdraw offers that are abused.

5. Refunds and cancellations #

5.1 First payment for the Premium Plan. If you cancel a new Premium subscription (monthly or annual) within 14 days of the first charge, we will refund that first charge in full on request to support@quaal.co. This applies once per Account and does not apply to renewals or to Plan changes.

5.2 Renewals. Except as stated in Section 5.1, subscription Fees, including every monthly and annual renewal, are not refundable. Cancelling stops future charges; you keep the Plan until the end of the paid period.

5.3 Domains and domain-related Fees are non-refundable. Domain registration, renewal, transfer, redemption/restore, premium-domain and WHOIS privacy Fees are charged to us by the Registrar and registry the moment the transaction is executed and cannot be reversed. Accordingly, these Fees are not refundable under any circumstances, including cancellation of your Account, a typo in the domain name you ordered, or a domain you no longer want. Check the exact spelling and TLD before you confirm a domain order.

5.4 Mailbox add-ons. Once offered, mailbox add-ons are billed monthly or annually, as chosen at checkout, and follow the same refund rules as the Premium Plan (Sections 5.1 and 5.2).

5.5 Termination for breach. If we terminate your Account for breach of these Terms or the AUP, you are not entitled to any refund.

5.6 Statutory rights. Nothing in this Section limits any refund right that applies to you under consumer protection law that cannot be excluded by contract.

6. Hosting service, Plan Limits and fair use #

6.1 What we provide. The Service lets you build a Site in our editor or upload your own files (HTML, CSS, JavaScript, images and the other file types we allow, but no server-side code such as PHP), publish it as static content, and serve it over HTTPS from HereAreI infrastructure, on a subdomain of the Sites Domain or on a Customer Domain. We obtain and renew TLS certificates for Customer Domains automatically where DNS is correctly configured.

6.2 Plan Limits. Each Plan has limits on the number of Sites, storage, monthly bandwidth, templates, mailboxes, aliases and features, as published on our website and in your dashboard. We measure usage on our systems and our measurements govern.

6.3 Enforcement. If a Site exceeds its bandwidth limit, we may pause it for the remainder of the month and serve a "site paused" page until the next month begins (or, once paid Plans are available, until you upgrade); a paused Site is not deleted. If stored content exceeds the storage limit, further uploads are refused until you free space or upgrade. We show usage in your dashboard and email you when a limit is reached. Hard limits protect other customers; repeated or extreme overages are a breach of the AUP.

6.4 Fair use. The Service is for hosting websites. It is not a file-distribution, video-streaming, backup or general storage service, and it may not be used to proxy or mirror other services. We may restrict Sites whose usage pattern is inconsistent with ordinary website hosting even within Plan Limits, after notice where practical.

6.5 BYO Domains. You may connect a BYO Domain that you control at another registrar, up to the number of Customer Domains your Plan allows (one on the Free Plan), at no charge. You are responsible for that domain's registration, renewal, DNS and fees with your registrar. We will show you the DNS records to set (currently address records for the domain and its "www" name, pointing to our IP address), and we obtain the HTTPS certificate automatically once they are in place (Section 6.1). We cannot guarantee that every registrar or DNS provider is supported, and we may ask you to prove that you control a domain before we serve it.

6.6 Changes to the Service. We may add, change or discontinue features. If we discontinue a feature that is material to a paid Plan, we will give at least 30 days' notice and, if you cancel within that period as a result, refund any prepaid Fees for the unused portion of the period.

7. Domain registration services #

7.1 Availability and reseller status. Domain registration, renewal and transfer are not offered during the beta; until they are, you may connect a domain you already own under Section 6.5. When we offer them, HereAreI will provide them as a reseller of the Registrar, and this Section 7 will apply to every domain you order through HereAreI. Domains ordered through HereAreI will be registered by the Registrar, an ICANN-accredited registrar, which will be the sponsoring registrar of record. HereAreI is not an ICANN-accredited registrar and does not claim to be one. You may contact us at any time to confirm the identity of the sponsoring registrar for your domain.

7.2 Registration Agreement incorporated. When you order, renew or transfer a domain through HereAreI, you enter into the Registration Agreement with the Registrar, and every provision of the Registration Agreement is incorporated into these Terms and binds you. You must read and accept the Registration Agreement at checkout. If these Terms and the Registration Agreement conflict about a domain, the Registration Agreement governs. Where a registry requires an agreement of its own (for example, the CIRA Registrant Agreement for .ca domains, if we offer them), you must also review and accept it at checkout and meet that registry's eligibility requirements.

7.3 ICANN registrant information. ICANN requires us to provide you with the following resources, which you should read:

These links will also appear in the footer of every domain-related page on the Service. (Basis: 2013 Registrar Accreditation Agreement s. 3.12.5 and 3.12.7, https://www.icann.org/resources/pages/approved-with-specs-2013-09-17-en, as of 2026-09-16.)

7.4 You are the registrant. For every Registered Domain, you (or the person or organization you name at checkout) are the registrant of record — the legal holder of the domain — and HereAreI is not. Under ICANN's Registration Data Policy, separate administrative and billing contacts are no longer collected for generic TLDs; where a registry or the Registrar still uses a technical contact, HereAreI or the Registrar may be listed as it so that we can manage DNS on your behalf. You must:

(a) provide accurate, complete and current registrant contact information (name, organization if any, postal address, email, phone) at registration and keep it accurate, updating it through your dashboard within seven (7) days of any change;

(b) understand that for generic TLDs the Organization field, if completed, identifies the legal owner of the domain, and that changing it may trigger registrant email verification (Section 7.5), a change-of-registrant process and a transfer lock (Sections 7.9 and 7.11);

(c) respond within fifteen (15) days to any inquiry from us or the Registrar about the accuracy of your contact information.

Providing false contact information, or failing to respond to an accuracy inquiry within 15 days, is a material breach that may result in suspension or cancellation of the domain by the Registrar under the ICANN Registrar Accreditation Agreement (s. 3.7.7, same URL as above).

7.5 Registrant email verification (15-day rule). ICANN's Whois Accuracy Program Specification requires the Registrar to verify your registrant email address when a domain is registered, transferred in, or when the registrant email is changed. The Registrar will email the registrant address with a verification link and send reminders. If you do not click the verification link within fifteen (15) days, the Registrar will place the domain on hold and your Site and email at that domain will stop resolving until verification is completed. Renewals do not trigger a new verification. Your dashboard will show the verification status and let you resend the email. HereAreI is not responsible for downtime caused by unverified registrant email addresses.

7.6 Renewal reminders (ICANN Expired Registration Recovery Policy). Renewal reminder notices are delivered by email to the registrant contact address, and copies to your Account email. For every Registered Domain the Registrar sends reminders approximately one month and one week before expiry and within five days after expiry; these notices are required by ICANN and cannot be turned off (https://www.icann.org/resources/pages/errp-2013-02-28-en, as of 2026-09-16). The Registrar may send additional courtesy reminders. HereAreI also sends its own reminders about one month and one week before expiry. It is your responsibility to keep the registrant and Account email addresses working and to check them; email filtering, full mailboxes or a stale address do not excuse a missed renewal.

7.7 Renewals. Registered Domains auto-renew by default shortly before expiry using your payment method on file, at the renewal price shown on the Domain Fees page at that time. You may turn auto-renew off for any domain in your dashboard; if you do, the domain will expire unless you renew it manually before the expiry date. Renewal, post-expiration renewal and redemption/restore fees for every TLD we offer will be published on our Domain Fees page before domain registration is offered, and that page forms part of these Terms.

7.8 Expiry and its consequences. If a domain is not renewed by its expiry date:

(a) Renewal grace period: for a period after expiry set by the Registrar and the registry (shown on the Domain Fees page), the domain stops resolving — your Site and any email at that domain go offline. You may still renew at the standard renewal price plus any post-expiration renewal fee shown on the Domain Fees page. ICANN requires that DNS be interrupted for at least the last eight days of this period (ERRP s. 2.2, https://www.icann.org/resources/pages/errp-2013-02-28-en, as of 2026-09-16).

(b) Redemption period: after the renewal grace period, the domain may be deleted by the Registrar and enter the registry's redemption grace period. It can then be restored only by paying the redemption/restore fee listed on the Domain Fees page plus a renewal; this fee is substantially higher than a renewal and is non-refundable.

(c) After the redemption period: the domain is released by the registry and may be registered by anyone. HereAreI has no ability to recover it.

Exact timings vary by TLD. The TLD-specific schedule is shown on the Domain Fees page. HereAreI is not liable for the loss of any domain that expires, or for any consequences of a domain going offline, where the renewal was not paid.

7.9 Transfers away and EPP/authorization codes. You have the right to transfer a Registered Domain to another registrar, subject to the ICANN Transfer Policy (https://www.icann.org/resources/pages/transfer-policy-2016-06-01-en, as of 2026-09-16) and registry rules, as amended from time to time. To do so:

(a) unlock the domain and request its authorization code (EPP/AuthInfo code, or its successor Transfer Authorization Code) from your dashboard. We provide the code by self-service, or otherwise within five (5) calendar days of your request;

(b) respond to the Registrar's confirmation email if you receive one, and approve the transfer when the gaining registrar's process asks you to. If the Registrar gives you a period to approve or decline a transfer away (typically five days), no response within that period may be treated as approval;

(c) move your DNS records first; transferring a domain away does not move your Site, email or DNS, and HereAreI-managed DNS records will stop functioning once the transfer completes.

The Registrar may deny a transfer only for the reasons ICANN permits, which as of 2026-09-16 include: within 60 days of initial registration, within 60 days of a previous inter-registrar transfer, within 60 days of a change of registrant (unless you opted out in advance), reasonable evidence of fraud, a dispute over the identity of the registrant, your own express objection, a pending UDRP/URS/TDRP/court proceeding, or non-payment of a previous or current registration period (where the domain has been placed on hold for that reason). We will not deny a transfer because of non-payment for a future period, because a domain is locked without giving you a way to unlock it, or for any unrelated payment issue. The ICANN Transfer Policy is being revised (among other things, to shorten some lock periods and to replace the AuthInfo code with a single-use Transfer Authorization Code); the applicable rule is whichever version of the ICANN Transfer Policy is in force at the time of your request.

7.10 Transfers in. Where offered, you may transfer a domain you own at another registrar to HereAreI. The transfer Fee typically includes a one-year renewal (not for every TLD; the Domain Fees page states which). You must unlock the domain, obtain the authorization code from your current registrar and approve the transfer. We are not responsible for transfers that fail because of the losing registrar's actions or because of the lock periods described above.

7.11 Changes of registrant. Changing the registrant name, organization or email of a generic-TLD domain is a "change of registrant" under the ICANN Transfer Policy. The Registrar will notify the old and new registrant, and the domain will be locked against transfer to another registrar for 60 days (or the shorter period in any successor policy) unless you opt out of the lock in your dashboard before making the change.

7.12 Registration data (WHOIS/RDDS) and privacy.

(a) Your registrant data is provided to the Registrar and to the relevant registry, and may be disclosed to ICANN, dispute-resolution providers, law enforcement and others as required by the Registration Agreement, applicable law and registry policy, and to third parties who demonstrate a legitimate interest through the Registrar's disclosure process. It is retained by the Registrar and by HereAreI for as long as ICANN policy, registry policy and our agreement with the Registrar require, which may be several years after the registration ends.

(b) Under ICANN's Registration Data Policy (in effect since 2025), personal registrant data for generic TLDs is redacted from the public registration data directory by default. The Organization field, if filled, and certain non-personal fields may be published.

(c) For .ca domains, if we offer them, CIRA does not publish the personal data of individual registrants but does publish organization registrants' data.

(d) Where available for a TLD, we may offer an optional WHOIS privacy / contact privacy service provided by or through the Registrar, which substitutes the privacy provider's details for yours in public records. If you buy it, you agree to the privacy provider's terms presented at checkout, any Fee is charged for the full period when added and is non-refundable, it renews with the domain, and the provider may reveal your details or relay communications to you when required by law, by ICANN policy, or in response to well-founded abuse or legal claims. Contact privacy is not available for all TLDs; availability and price are shown on the Domain Fees page. Because personal data is already redacted from public records by default (paragraph (b)), the privacy service mainly affects the gated registration data available to third parties through the Registrar's disclosure process.

7.13 Disputes, UDRP and URS. You agree to be bound by the Uniform Domain-Name Dispute-Resolution Policy, the Uniform Rapid Suspension system, the CIRA Domain Name Dispute Resolution Policy for .ca, and any other dispute policy adopted by ICANN or the relevant registry, as set out in the Registration Agreement. HereAreI may lock, suspend, transfer or cancel a domain when directed to do so by the Registrar, a registry, ICANN, a dispute-resolution provider, a court order or applicable law, and is not liable for doing so. Registrar-to-registrar transfer disputes are handled between registrars under the ICANN Transfer Dispute Resolution Policy; if you believe a transfer was mishandled, contact us and we will escalate to the Registrar.

7.14 Premium and reserved names. Registries designate some names as premium, with non-standard registration and renewal prices; the price shown at checkout is the price for that name, and renewal of a premium name is at the premium renewal price. We may cancel an order for a name that a registry reports as reserved, blocked or mis-priced, and refund that order in full.

7.15 Domain abuse. You may not use a Registered Domain in violation of the AUP, the Registration Agreement or the law. We publish an abuse contact (support@quaal.co, with "Abuse" in the subject line) and forward reports to the Registrar where required. The Registrar and HereAreI may suspend or cancel a domain used for phishing, malware distribution, botnet command and control, pharming, spam, child sexual abuse material, or other illegal activity, with or without notice.

7.16 Nameservers and DNS. By default, Registered Domains use nameservers operated by our DNS provider (currently DigitalOcean), and we manage the DNS records needed for your Site and email. You may set custom nameservers in your dashboard; if you do, we cannot manage your DNS or guarantee your Site and email will work.

7.17 Records. We keep records of your domain orders, the Registration Agreement version you accepted, and related communications for at least three years after the registration ends, or longer if our agreement with the Registrar requires it.

8. Email services #

8.1 Provider. Mailboxes are not offered during the beta. When they are, mailboxes will be a paid add-on provided by the Email Provider and resold by HereAreI. The Email Provider's terms of use and acceptable use policy, as presented when your first mailbox is created and as updated by the Email Provider, will apply to your use of email and are incorporated by reference. You will be responsible for the conduct of every person you give a mailbox to (your "End Users"). You must accept those terms when your first mailbox is created.

8.2 Our terms govern billing. Where the Email Provider's terms refer to the partner's payment, cancellation and refund terms, these Terms are those terms.

8.3 Access to mail data. To provide support and to comply with the law and the Email Provider's terms, HereAreI and the Email Provider have administrative access to mailbox settings and, where necessary, mailbox content. We do not read your mail except as needed to resolve a support request you raise, to investigate a suspected breach of the AUP or the Email Provider's policies, or as required by law. See the Privacy Policy.

8.4 Limits. Each mailbox add-on comes with set storage per mailbox, and your Plan sets the aliases and features available. A feature your Plan includes is only available where the Email Provider supports it: a catch-all address, for example, is part of the Premium Plan but cannot be offered while our current provider has none, and your dashboard shows only what is actually available. The Email Provider also enforces sending limits per mailbox (per hour and per day), attachment-size limits and alias limits; these will be published in your dashboard and may change. Exceeding them will cause messages to be rejected or delayed.

8.5 Fair use and prohibited use. Email is for ordinary business and personal correspondence. You must not use it to send unsolicited commercial email, bulk mail to purchased lists, phishing, malware or any message that violates Canada's Anti-Spam Legislation (CASL), CAN-SPAM, GDPR or other applicable law. If you send commercial email, you are the sender for the purposes of CASL and must hold consent, identify yourself and honour unsubscribe requests. The Email Provider may suspend a mailbox or domain without notice for abuse, and HereAreI will not reinstate service suspended by the Email Provider for abuse.

8.6 Deliverability. We configure MX, SPF and DKIM records for Registered Domains automatically, and provide them for BYO Domains. We do not guarantee that any message will be delivered, that your mail will not be classified as spam by a recipient, or that inbound spam filtering will be perfect. Spam-filter level and certain advanced settings may be managed in the Email Provider's control panel, which we will link to from your dashboard.

8.7 Suspension, downgrade and deletion. Mailboxes are suspended when their add-on or your Plan is unpaid (Section 4.8) and deleted after the grace period in Section 4.9 or when your Account is terminated. Deleted mailbox data may be permanently purged by the Email Provider soon after deletion and cannot be recovered. Export any mail you need before cancelling or downgrading (Section 10.2).

8.8 Email uptime. HereAreI does not offer a separate email uptime guarantee, and any service level the Email Provider offers applies between the Email Provider and HereAreI only. Section 12 applies.

9. User Content and licence to host #

9.1 Ownership. You retain all rights you hold in your User Content. These Terms do not transfer ownership of your User Content to HereAreI.

9.2 Licence to us. So that we can operate the Service, you grant HereAreI a worldwide, non-exclusive, royalty-free licence, for as long as your User Content is on the Service and for a reasonable period afterwards for backups and legal compliance, to host, store, copy, cache, back up, reproduce, transmit, display, perform, reformat, compress, create thumbnails and other technical derivatives of, and otherwise use your User Content solely to provide, secure, support and improve the Service and to comply with the law. This licence includes the right to serve your published Site to Visitors, to deliver your email, and to let our subprocessors (Section 14) do these things on our behalf. It ends when you delete the content or your Account, subject to Section 10.

9.3 Your responsibilities. You are solely responsible for your User Content and for every Site published under your Account, including compliance with the law, third-party rights, accessibility and consumer-protection rules that apply to you, the privacy of your Visitors' data (including any form submissions and analytics you enable), and any products or services you sell through a Site. You represent and warrant that you own or have all rights needed to publish your User Content and to grant the licence in Section 9.2, and that your User Content does not infringe or violate the rights of any person or any law.

9.4 Visitor data. Form submissions and other data your Visitors submit through your Site are your User Content and your responsibility; we process them only as your service provider. You are the party responsible for giving your Visitors any privacy notice the law requires.

9.5 Feedback. If you send us suggestions or feedback about the Service, you grant us the right to use it without restriction or compensation.

9.6 No obligation to monitor; right to remove. We do not pre-screen User Content and have no obligation to monitor it, but we may review it and may remove or disable access to any User Content that we reasonably believe violates these Terms, the AUP, the Registration Agreement, the Email Provider's policies, our upstream providers' policies or the law, or that exposes HereAreI to liability, with or without notice.

9.7 Copyright and other complaints. Our process for copyright notices (Canada's notice-and-notice regime under the Copyright Act, ss. 41.25–41.27, and a voluntary process for notices in the format of the United States DMCA), trademark complaints and other takedown requests is described in our Copyright, Trademark and Abuse Policy at https://www.herearei.com/legal/copyright/. In summary: (a) compliant Canadian notices are forwarded to the Site owner as soon as feasible, the claimant is told whether we forwarded it, and identifying records are retained for six months (one year if the claimant starts proceedings and tells us so); we charge no fee, we do not forward notices that contain settlement offers or demands for payment or personal information, and the Canadian regime does not itself oblige us to remove content (https://laws-lois.justice.gc.ca/eng/acts/c-42/section-41.26.html, as of 2026-09-16); (b) we have not registered a designated agent with the US Copyright Office and do not claim the DMCA safe harbour, but we accept notices in the DMCA format and may remove the content they identify under Section 9.6, subject to your right to send a counter-notice (after which content is normally restored in 10 to 14 business days unless the claimant tells us they have started a court action); and (c) we terminate the Accounts of repeat infringers. Independently of either regime, we may remove content under Section 9.6. Send notices to support@quaal.co with "Copyright notice" in the subject line.

10. Data export, backups and deletion #

10.1 Export. You may download the files you uploaded to your Site from your dashboard or the Site's file manager at any time, and read the form submissions your Site has received in your dashboard (every Plan includes a contact form; the number of submissions retained per Site is a Plan Limit). On request to support@quaal.co we will provide a copy of your Site's pages and settings. Registered Domains are yours and can be transferred away under Section 7.9.

10.2 Email export. Mailbox contents can be exported by you using standard IMAP clients while the mailbox is active. We do not provide mail exports after a mailbox has been deleted.

10.3 Backups. We keep backups of the Service for disaster recovery. Backups are for restoring the Service as a whole, not individual Sites, and we do not guarantee that any particular version of your content can be restored. You are responsible for keeping your own copies of your User Content.

10.4 Deletion on termination. When your Account is terminated by you or by us, your Sites go offline immediately (or at the end of the paid period if you cancel a paid Plan), and we delete your User Content from active systems within 30 days and from backups within 60 days, except where we must keep it longer to comply with law, to resolve disputes, to enforce these Terms, or under Section 7.17 (domain records). Domains that are not transferred away before termination remain registered in your name until they expire (Section 7.8); after termination we will provide the authorization code on request but will not renew the domain.

10.5 Privacy rights. Your rights to access, correct, port and delete personal information are described in the Privacy Policy. Requests go to support@quaal.co (put "Privacy" in the subject line).

11. Suspension, termination and inactive Sites #

11.1 By you. You may delete a Site yourself from your dashboard at any time. To close the whole Account, email support@quaal.co from the address on your Account with "Close account" in the subject line; we will confirm the request and close it. Closing an Account cancels all subscriptions at the end of their current period and, after that, triggers the deletion process in Section 10.4, on the timelines stated there. Domain Fees already paid are not refunded.

11.2 Suspension by us. We may suspend, pause or restrict all or part of the Service to your Account, or take a Site or domain offline, immediately and without prior notice if we reasonably believe that: (a) you have breached these Terms, the AUP, the Registration Agreement or the Email Provider's policies; (b) your Account or a Site is being used to harm others, the Service or our providers (including phishing, malware, spam, attacks, or excessive resource use); (c) we are required to do so by law, a court, a regulator, ICANN, a registry, the Registrar or an upstream provider; (d) a payment is overdue (Section 4.8); or (e) suspension is needed to protect the security or integrity of the Service. Where practical we will notify you of a suspension and tell you what you can do to resolve it. You may appeal a suspension by writing to support@quaal.co with "Appeal" in the subject line (or through the appeal form in your dashboard, where offered); we will respond within ten (10) business days.

11.3 Termination by us. We may terminate your Account (a) immediately for a serious or repeated breach, for illegal activity, or where an upstream provider or authority requires it; (b) on 30 days' notice for any other breach that you do not cure within that time; or (c) on 30 days' notice for any reason if we discontinue the Service or the Plan you are on, in which case we will refund any prepaid, unused subscription Fees. Domain Fees are never refunded.

11.4 Inactive Free Sites. To keep the Free Plan sustainable and to limit abuse, Sites on the Free Plan are subject to an inactivity policy:

(a) A Free Site is "inactive" if, for the stated period, its owner has neither signed in to the Account nor edited or republished the Site. Visitor traffic alone does not count as activity.

(b) After six (6) months of inactivity we will email you a warning at your Account email address, and again after eleven (11) months.

(c) After twelve (12) months of inactivity we may take the Site offline (unpublish it). Nothing is deleted at that point: we keep the Site, its User Content and its free subdomain for thirty (30) days, and if you sign in and publish the Site within those thirty (30) days it is restored as it was. Thirty (30) days after the Site is taken offline we may permanently delete the Site and its User Content and release its free subdomain. Signing in or making any edit before deletion resets the clock.

(d) Registered Domains attached to an inactive Free Site are not affected by this policy; they follow their own renewal and expiry rules (Sections 7.7 and 7.8). Paid Plans are not subject to this policy while they are paid.

11.5 Effect of termination. On termination all licences granted to you end, all Fees owed become due, and Sections 5, 7.8, 7.12(a), 7.17, 9.2 (to the extent needed for wind-down), 10, 11.5, 13.1 (the restrictions on our property), 15, 16, 17, 18 and 20 survive.

12. Service levels and support #

12.1 Best effort. We aim to keep the Service available continuously, but we operate a small platform and do not promise any specific level of availability, performance or support response time. The Service may be unavailable for maintenance (which we will try to announce in advance), for emergency fixes, or because of events outside our control, including failures at our hosting, DNS, Registrar, Email Provider or Billing Provider.

12.2 Paid Plans. For the Premium Plan (once available), if the Service is unavailable for reasons within our control for more than 72 consecutive hours in a calendar month, you may request a credit of one month's subscription Fee for that Plan as your sole remedy, by emailing support@quaal.co within 30 days. Credits are applied to future Fees and are not refundable in cash.

12.3 Free Plan. The Free Plan is provided without any service commitment of any kind. We may pause, rate-limit or take Free Sites offline at any time for operational reasons.

12.4 Support. Support is provided by email only, at support@quaal.co. We do not provide support for your own code, for third-party services you connect, or for DNS at registrars other than ours beyond our published guides.

12.5 Beta features. Features labelled beta, preview or experimental are provided as-is, may change or be withdrawn without notice, and are excluded from any credit under Section 12.2.

13. Intellectual property and the "Built with HereAreI" badge #

13.1 Our property. The Service, including its software, editor, templates, themes, design elements, documentation, trademarks (including "HereAreI" and our logos), and all improvements, is owned by HereAreI or its licensors and protected by copyright, trademark and other laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service and, as part of a Site published through the Service, the templates and design elements we provide, for as long as your Account is in good standing. You may not copy, modify, reverse-engineer, scrape, resell or create derivative works of the Service or its templates except as the editor is designed to allow, and template designs may not be exported for use outside the Service.

13.2 Your marks. You retain all rights in your own name, logo and brand. You grant us permission to use your Site's name and screenshots to identify you as a customer (for example, in a showcase) only if you opt in from your dashboard.

13.3 "Built with HereAreI" badge. Sites on the Free Plan display a small, unobtrusive "Built with HereAreI" badge, added by us to the pages built in the editor when the Site is published, which links to https://www.herearei.com. You agree not to remove, hide, obscure or alter the badge by any means (including CSS, scripts or editing the served page) while the Site is on the Free Plan. Doing so is a breach of these Terms and may result in the Site being paused. The badge is removed automatically on the Premium Plan. We may change the badge's design and text from time to time.

13.4 Third-party components. The Service includes open-source and third-party components licensed under their own terms, a list of which is available on request. Fonts, icons and stock images provided in templates are licensed for use on Sites hosted by the Service only, unless the asset's licence says otherwise.

14. Third-party services and subprocessors #

14.1 The Service depends on third parties, including: hosting and DNS infrastructure from DigitalOcean, LLC; delivery of sign-in and notification email through Namecheap Private Email (Namecheap, Inc.); TLS certificates from Let's Encrypt; and, once paid features launch, payments from the Billing Provider (Stripe), domain registration from the Registrar and the applicable registries (for example, Verisign for .com and .net), and email from the Email Provider. A current list of subprocessors and where they process data is in the Privacy Policy.

14.2 Where you must accept a third party's terms (the Registration Agreement, the CIRA Registrant Agreement, the Email Provider's terms), those terms bind you directly. Where a third party's terms bind HereAreI (for example, DigitalOcean's Acceptable Use Policy at https://www.digitalocean.com/legal/acceptable-use-policy, as of 2026-09-16), you agree not to cause HereAreI to breach them, and our AUP is at least as strict as those upstream policies.

14.3 We are not responsible for the acts, omissions, outages, price changes or policy changes of third parties, and we may change providers. A change of Registrar or Email Provider that requires you to accept new third-party terms will be announced with at least 30 days' notice where practical.

14.4 Links from the Service or from Sites to third-party websites or services are provided for convenience; we do not endorse or control them.

15. Disclaimers #

15.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEREAREI AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, CONDITIONS AND REPRESENTATIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

15.2 WITHOUT LIMITING SECTION 15.1, WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE; THAT ANY DOMAIN NAME WILL BE AVAILABLE, REGISTERED, RENEWED, TRANSFERRED OR RESTORED; THAT ANY EMAIL WILL BE DELIVERED OR FILTERED CORRECTLY; THAT YOUR SITE WILL ACHIEVE ANY SEARCH RANKING, TRAFFIC OR BUSINESS RESULT; OR THAT USER CONTENT WILL NOT BE LOST. YOU USE THE SERVICE AT YOUR OWN RISK.

15.3 Some jurisdictions do not allow the exclusion of certain warranties or conditions, including consumer protection statutes in British Columbia and other Canadian provinces. To that extent, the exclusions in this Section apply only to the maximum extent permitted by law.

16. Limitation of liability #

16.1 Exclusion of indirect loss. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEREAREI, ITS OWNER(S), EMPLOYEES, CONTRACTORS, SUPPLIERS AND LICENSORS WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR USE, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (CONTRACT, TORT INCLUDING NEGLIGENCE, STATUTE OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES LOSSES ARISING FROM THE EXPIRY, SUSPENSION, LOSS OR NON-RENEWAL OF A DOMAIN NAME, FROM DOWNTIME OF A SITE OR MAILBOX, OR FROM THE LOSS OR CORRUPTION OF USER CONTENT.

16.2 Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO HEREAREI IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) TWENTY CANADIAN DOLLARS (CAD $20). For domain-related claims, the Registrar's liability is separately limited by the Registration Agreement.

16.3 Exceptions. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, for fraud, or under consumer protection legislation that applies to you notwithstanding these Terms.

16.4 Basis of the bargain. You acknowledge that the Fees reflect this allocation of risk and that HereAreI would not provide the Service, in particular the Free Plan, without these limitations.

17. Indemnity #

17.1 You will defend, indemnify and hold harmless HereAreI and its owner(s), employees, contractors, suppliers and licensors (including the Registrar, the registries and the Email Provider, to the extent the Registration Agreement or Email Provider's terms require) from and against all claims, demands, proceedings, losses, damages, liabilities, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your User Content or any Site; (b) your use of the Service or of any domain or mailbox; (c) your breach of these Terms, the AUP, the Registration Agreement or the Email Provider's terms; (d) your violation of any law or of the rights of any third party, including intellectual property, privacy, anti-spam and consumer protection rights; (e) any dispute over a domain name registered in your name, including UDRP, URS, CDRP or court proceedings; (f) Taxes that you are responsible for; and (g) your Visitors' or End Users' use of your Site or mailboxes.

17.2 We will notify you promptly of any claim, let you control the defence and settlement (provided you do not admit liability on our behalf or settle in a way that binds us without our consent), and cooperate at your expense. We may participate with our own counsel at our own expense.

18. Governing law and dispute resolution #

18.1 Governing law. These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in that province, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The Registration Agreement is governed by the law and courts it specifies.

18.2 Talk to us first. Before starting any formal proceeding, you agree to send a written description of the dispute to support@quaal.co (with "Legal notice" in the subject line) and to work with us in good faith for at least 30 days to resolve it. We will do the same before starting a proceeding against you (except for urgent injunctive relief or collection of undisputed Fees).

18.3 Courts. Subject to Section 18.4, you and HereAreI submit to the exclusive jurisdiction of the courts of British Columbia, sitting in Vancouver, for any dispute not resolved under Section 18.2. Either party may bring a claim in the small-claims court of its jurisdiction where the claim qualifies, and HereAreI may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or the security of the Service.

18.4 Consumers. If you are a consumer resident in a Canadian province whose consumer protection legislation gives you the right to bring a claim in your home province, or prohibits mandatory arbitration or class-action waivers, nothing in this Section takes that right away.

18.5 Time limit. To the extent permitted by law, any claim arising out of these Terms must be started within two (2) years after the cause of action arose.

18.6 Language. These Terms are drafted in English. Les parties ont exigé que la présente convention et tous les documents connexes soient rédigés en anglais.

19. Changes to these Terms #

19.1 We may update these Terms from time to time. For material changes (including changes to Fees, refund terms, Plan Limits that reduce what you receive, the inactive-site policy, liability or dispute-resolution terms), we will give you at least 30 days' notice by email to your Account address and by a notice in your dashboard, and post the new version with an updated "Last updated" date. Non-material changes (clarifications, typographical fixes, updated links, new features) take effect when posted.

19.2 If you do not agree with a material change, you may cancel your Account before it takes effect and, for a paid annual Plan, receive a pro-rated refund of prepaid Fees for the unused period. Continuing to use the Service after a change takes effect means you accept it.

19.3 Changes required by law, by ICANN or registry policy, by the Registrar, or by the Email Provider may take effect on shorter notice where the requirement leaves us no choice; we will tell you the reason.

19.4 Prior versions of these Terms are available on request to support@quaal.co.

20. General #

20.1 Entire agreement. These Terms, the AUP, the Privacy Policy, the Domain Fees page, the Registration Agreement, the Email Provider's terms as incorporated, and any order you place are the entire agreement between you and HereAreI about the Service and supersede all prior agreements and understandings.

20.2 Assignment. You may not assign or transfer these Terms or your Account without our written consent. We may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, reorganization or sale of assets, and will notify you if we do.

20.3 Notices. We give notice to you by email to your Account address or through your dashboard; notice is effective when sent. You give notice to us by email to support@quaal.co with "Legal notice" in the subject line; notice is effective when received.

20.4 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, labour disputes, government action, internet or utility failures, denial-of-service attacks, or failures of third-party providers, except that this does not excuse your payment obligations.

20.5 Severability and waiver. If any provision of these Terms is held unenforceable, it will be enforced to the maximum extent permitted and the rest of the Terms remain in effect. A failure to enforce a provision is not a waiver of it.

20.6 No third-party beneficiaries. Except for the Registrar, the registries and the Email Provider to the extent stated in Section 17, these Terms create no rights in any third party.

20.7 Independent contractors. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship.

20.8 Export and sanctions. You represent that you are not on any Canadian, US, UN or EU sanctions list and will not use the Service in violation of export-control or sanctions laws.

20.9 Electronic contracting. You agree that clicking to accept, and receiving notices and records electronically, satisfy any legal requirement that this agreement and related communications be in writing or signed.
